Chondohub Terms of Service

1. Introduction & Acceptance of Terms
Please read these Terms of Service carefully before using the Kiondo farm management platform, including our website, mobile applications, and related services ("Services"). By using the Services, you agree to be bound by these Terms of Service. If you do not agree to these Terms of Service, you may not use the Services.
2. Description of Service
The Services are designed to provide a comprehensive farm management platform for farmers, agricultural businesses, and related organizations. The Services allow users to manage their farming operations, including crop management, inventory management, resource planning, and financial record-keeping. The Services also provide access to weather forecasts, market prices, and other useful information.
3. User Accounts, Registration, and Security
To use the Services, you must register for a user account. During registration, you will be asked to provide certain information, such as your name, email address, and password. You agree to provide accurate and complete information during registration and to keep this information up-to-date. You are responsible for maintaining the security of your account and for all activities that occur under your account.
4. Subscription Services, Fees, and Payment
Chondohub offers various subscription plans for its Services, detailed on our website's pricing page. By selecting a subscription plan, you agree to pay the applicable fees.
- Billing Cycle: Subscription fees are billed on a recurring basis (e.g., monthly or annually) as specified at the time of purchase. Your subscription will automatically renew at the end of each billing cycle unless you cancel it.
- Payment Methods: We accept various payment methods as indicated on our platform, processed through secure third-party payment gateways like Paystack. You authorize us to charge your chosen payment method for all applicable fees.
- Automatic Renewal & Cancellation: Your subscription will automatically renew for successive periods of the same duration as the original subscription term, at the then-current non-promotional rate, unless you cancel your subscription before the end of the current billing cycle. You can manage or cancel your subscription through your account settings or by contacting us at hello@chondohub.com. Cancellations will take effect at the end of the current billing period.
- Refunds: Subscription fees are generally non-refundable, except as required by applicable law or as explicitly stated in our refund policy (if any) on our website. Any refunds will be at our sole discretion.
- Price Changes: We reserve the right to change our subscription fees. We will provide you with reasonable prior notice of any such changes, for example, by posting the new prices on our website or sending you an email notification. Your continued use of the Services after the price change becomes effective constitutes your agreement to pay the modified fee amount.
5. User Conduct and Responsibilities
You are responsible for your use of the Services and for any content you provide, including compliance with applicable laws, rules, and regulations. You agree not to:
- Use the Services for any illegal or unauthorized purpose, or in violation of any local, national, or international law.
- Misrepresent your identity or affiliation with any person or entity.
- Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
- Attempt to gain unauthorized access to the Services, other user accounts, or our computer systems or networks.
- Upload, transmit, or distribute any material that is unlawful, defamatory, abusive, harassing, threatening, harmful, obscene, or otherwise objectionable.
- Transmit any viruses, worms, defects, Trojan horses, malware, or any items of a destructive nature.
- Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Services or any part thereof, except to the extent permitted by applicable law.
- Use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, “data mine,” or in any way reproduce or circumvent the navigational structure or presentation of the Services or its contents.
- Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
- Use the Services to store or transmit sensitive personal information beyond what is reasonably required for farm management, or in violation of data protection laws.
6. Intellectual Property Rights
The Services are protected by copyright, trademark, and other intellectual property laws. You agree not to reproduce, modify, display, sell, or distribute the Services or any content on the Services without our prior written consent.
7. User Data: Ownership, License, and Usage
7.1. Ownership of Farm Data
You retain ownership of all data you enter into the Services, including but not limited to data related to your farming operations, such as crop management, inventory management, resource planning, and financial records.
7.2. License to Chondohub
To enable us to provide, operate, maintain, and improve the Services, you grant Chondohub a limited, non-exclusive, worldwide, royalty-free, sublicensable (e.g., to our hosting providers and other essential service partners) license to access, use, reproduce, modify, process, adapt, display, and distribute your Farm Data solely for the following purposes:
- Operating and providing the Services to you.
- Addressing technical issues, support requests, and ensuring the security and proper functioning of the Services.
- Improving the Services, including developing new features and functionalities (this may involve using your Farm Data in an aggregated and anonymized form, as further described in Section 7.3).
- As otherwise required by applicable law or as described in our Privacy Policy.
This license is granted only to the extent necessary for these purposes and terminates when you delete your Farm Data from the Services or terminate your account, except to the extent your data has been incorporated into Aggregated and Anonymized Data (as defined in Section 7.3) or as necessary to comply with our legal obligations, resolve disputes, or enforce our agreements.
7.3. Aggregated and Anonymized Data
We may use aggregated and anonymized data from the Services to improve the Services and to provide insights to our customers. You agree that we may use this data without any restrictions.
8. Privacy Policy
Please refer to our Privacy Policy for information on how we collect, use, and disclose personal information.
9. Third-Party Services and Integrations
The Services may contain links to third-party websites or services. We are not responsible for the content or privacy practices of these third-party websites or services. You agree to use these third-party websites and services at your own risk.
10. Disclaimers and Warranties
Chondohub provides the Services “as is” and “as available,” without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. To the fullest extent permitted by law, Chondohub disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Chondohub and its affiliates, directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Services; or (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party.
12. Indemnification
You agree to indemnify, defend, and hold harmless Chondohub, its affiliates, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.
13. Term and Termination
These Terms remain in effect until terminated by either you or Chondohub. You may terminate your account at any time by following the instructions within the Services or by contacting us. Chondohub may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms, create risk or possible legal exposure for us, or for any other reason. Upon termination, your right to use the Services will immediately cease, and certain provisions of these Terms will survive termination (including, but not limited to, intellectual property, disclaimers, limitation of liability, and indemnification).
14. Modifications to Terms or Services
Chondohub reserves the right to modify these Terms or the Services at any time. We will notify you of material changes by posting the updated Terms on our website or through other appropriate communication channels. Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Services.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes arising from or relating to these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of Kenya. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
16. Force Majeure
Chondohub shall not be liable for any failure or delay in the performance of its obligations under these Terms due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials, or failures of public or private telecommunications networks.
17. Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Chondohub’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. Chondohub may assign or transfer these Terms, at its sole discretion, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
18. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or terms published by Chondohub on the Services, constitute the entire agreement between you and Chondohub concerning your use of the Services. These Terms supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Chondohub with respect to the Services.
19. Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Chondohub’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
20. Notices
Chondohub may provide you with notices, including those regarding changes to these Terms, by email to the address associated with your account, regular mail, or postings on the Services. Notices emailed to you will be deemed given and received when the email is sent. Notices posted on the Services are deemed given and received when posted. For notices made by regular mail, they will be deemed given and received three days after the date of mailing.
